Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Zenovate ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Zenovate provides custom AI product development, consulting, and deployment services for businesses. Our services include but are not limited to:

AI solution design and development
Custom model training and deployment
Integration with existing business systems
Ongoing support and maintenance
Consultation and strategy for AI adoption

3. Project Engagement

All projects begin with a Discovery Call and are followed by a formal proposal or Statement of Work (SOW). Work will commence only after written agreement and receipt of the advance payment as outlined in the project proposal.

4. Payment Terms

Payment terms will be outlined in the project proposal. Standard payment structure:

Advance Payment: A minimum advance payment is required before project work begins. The exact amount will be specified in the project proposal.
Milestone Payments: Remaining payments are tied to project milestones as defined in the SOW.
Final Payment: Due upon project completion and delivery.

5. Refund & Cancellation Policy

⚠️ IMPORTANT — NO REFUND ON ADVANCE PAYMENT:

Once the advance payment has been made and the project has commenced, the advance payment is non-refundable under any circumstances, including but not limited to:

Client-initiated project cancellation
Change in business requirements or priorities
Termination of the engagement by the client
Failure of the client to provide required inputs or feedback in a timely manner

The advance payment covers initial setup costs, resource allocation, discovery research, architecture planning, and early development work that begins immediately upon project confirmation.

If Zenovate cancels a project before work has commenced, a full refund of the advance payment will be issued within 15 business days.

6. Client Responsibilities

The client agrees to:

Provide timely and accurate information, data, and feedback required for project execution
Designate an authorized point of contact for project communication
Review and approve deliverables within the agreed timeline
Ensure necessary access to systems and platforms for integration work

7. Intellectual Property

Upon full payment, all custom-developed AI solutions, code, and deliverables will be transferred to the client. Zenovate retains the right to use generic frameworks, tools, and methodologies developed independently.

Client data and proprietary information remain the exclusive property of the client at all times.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes but is not limited to business data, AI models, source code, strategies, and financial information.

9. Limitation of Liability

Zenovate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the fees paid for the specific service in question.

10. Warranties

Zenovate warrants that services will be performed in a professional manner. We do not guarantee specific business outcomes, revenue increases, or performance metrics unless explicitly stated in the SOW.

11. Dispute Resolution

Any disputes arising from these terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of courts in India.

12. Modifications

Zenovate reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of the modified terms.
